Subject to the terms and conditions as set forth herein, SIMA obtains the services/aid of the Stakeholder and hereby accepts SIMA's agreement to act as a subject matter expert as described herein.
Stakeholder voluntarily agrees to perform services for SIMA as described below:
- Provide SIMA with assistance on reviewing and providing insight/information related to the Best Practices Guidelines for Sustainable Salt Usage document.
- Act as a subject matter expert and offer knowledge to determine content.
- Participate actively in reviewing the materials by email and/or phone call(s).
Independence of Stakeholder
Stakeholder's relationship with SIMA is mutually independent of each other. The Stakeholder is serving in a volunteer, non-compensated capacity. Stakeholder's services are to be performed solely by Stakeholder for SIMA pursuant to the terms of this Agreement.
Conflict of Interest
Each Stakeholder, while performing their duties per this Agreement, must demonstrate loyalty to the interests of SIMA’s membership as a whole, and to the overall well-being of SIMA as an organization, superseding any conflicting loyalties such as that to segments of the ownership, family members, advocacy or interest groups, staff, other organizations or any personal interests as a consumer of the organization’s services.
Stakeholders are to discharge their duties honestly and in good faith. Stakeholders shall exercise the degree of care, diligence and skill that a reasonably prudent person would exercise in similar circumstances.
Stakeholders must avoid conflict of interest with respect to fiduciary responsibility.
To assure fair and open competitive opportunities and equal access to inside information, the conduct of private business between any Stakeholder and SIMA is not permitted, except as procedurally controlled to assure openness and competitive opportunity.
Ownership of Content
SIMA shall own the copyrights to all content developed, created, or published per this Agreement, including all products produced per the Stakeholder Obligations (herein named Work Product). All Work Product shall belong exclusively to SIMA and shall, to the extent possible, be considered a work made-for-hire for the benefit of SIMA, within the meaning of Title 17 of the United States Code, and Stakeholder hereby assigns all rights, title and interest in Work Product to SIMA. SIMA Authorizes Stakeholder to market and reference Stakeholders contribution to developing the Best Practices Guidelines for Sustainable Salt Usage project provided Stakeholder obtains prior written consent from SIMA’s CEO (Martin Tirado).
Reputation and goodwill
Stakeholder shall not perform any Agreement services in a manner which would be injurious to the reputation and goodwill of SIMA.
Stakeholder shall not in any manner disclose to any person, partnership, firm or corporation any information concerning any matters affecting or relating to the business of SIMA including, but not limited to, any trade secrets, production processes, customers, pricing or marketing plans. This covenant shall remain in effect for two (2) years following termination of this Agreement.
Termination/Modification of Agreement
This Agreement may be terminated on 30 days written notice from either party, to the other party. No waiver or modification of this Agreement or of any covenant, condition or limitation herein shall be valid unless presented in writing and signed by both parties.
This Agreement contains the complete agreement concerning the services to be performed by the Stakeholder for SIMA and supersedes all prior agreements or understandings, written or unwritten. By signing this Agreement, both parties acknowledge that they have read this Agreement, understood its terms, including the release, have had an opportunity to have legal counsel review this agreement, and have voluntarily accepted its provisions.
